UnifiedEM — Terms of Use

Plain-Language Summary
UnifiedEM is a public emergency information dashboard operated by Momentum CE LLC ("Momentum CE," "we," "us") on behalf of a tribal or local emergency management department (the "Jurisdiction"). It has two sides:
- A public dashboard that aggregates federal and state emergency feeds and displays notices published by the Jurisdiction. Anyone can view it.
- An internal publishing tool used by authorized Jurisdiction staff ("Authorized Publishers") to push hyperlocal notices to that dashboard.
The most important things to know:
- UnifiedEM is not a substitute for 911 or official emergency alerts. If you are in danger, call 911.
- Information may be delayed, incomplete, or wrong. Federal feeds come from third parties. Local notices depend on staff publishing them in time. Use multiple sources.
- Authorized Publishers are responsible for what they publish. Anything pushed through the publishing tool is the Jurisdiction's communication, not Momentum CE's.
- By using either side of UnifiedEM, you accept these Terms.
The formal terms follow. If anything below conflicts with this summary, the formal terms control.
1. Definitions
"UnifiedEM" means the public emergency information dashboard, the internal publishing tool, related APIs, and all associated services operated by Momentum CE LLC.
"Public Dashboard" means the public-facing, branded web page where federal feeds, state feeds, and locally-published notices are displayed to the general public.
"Publishing Tool" means the authenticated, internal web application used by Authorized Publishers to compose, target, and publish notices to the Public Dashboard.
"Jurisdiction" means the tribal government, emergency management department, or other governmental body that has contracted with Momentum CE LLC to deploy a branded instance of UnifiedEM.
"Authorized Publisher" means an individual designated by the Jurisdiction and granted credentials to access and use the Publishing Tool.
"Public User" means any person who views the Public Dashboard, whether on a desktop browser, mobile device, or embedded view.
"Content" means text, images, maps, polygons, alerts, notices, links, or other material displayed on or transmitted through UnifiedEM.
"Third-Party Feeds" means data sources operated by entities other than Momentum CE — including without limitation the National Weather Service (NWS), AirNow, state forestry services, social media platforms, and similar providers.
2. Acceptance of Terms
These Terms of Use ("Terms") govern access to and use of UnifiedEM by both Public Users and Authorized Publishers. By accessing the Public Dashboard or by logging into the Publishing Tool, you agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use UnifiedEM.
We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Material changes will be communicated to the Jurisdiction and, where reasonably possible, posted on the Public Dashboard. Continued use of UnifiedEM after changes take effect constitutes acceptance of the revised Terms.
3. Nature of the Service — Critical Limitations
3.1 Not an Emergency Alerting System
UnifiedEM is a public information channel. It is not an emergency alerting system. UnifiedEM does not:
- Send SMS, voice, push, or wireless emergency alerts (WEA);
- Connect to IPAWS, Everbridge, CodeRED, or other alert origination platforms for the purpose of sending alerts;
- Guarantee that any Public User will see a posted notice in time to act on it.
The Jurisdiction is expected to maintain a separate alerting platform for life-safety notifications. UnifiedEM is designed to complement, not replace, those systems.
3.2 Not a Substitute for 911
In an emergency, call 911. Do not rely on UnifiedEM to summon emergency services. Do not use the Public Dashboard or Publishing Tool to request help.
3.3 Information May Be Delayed, Incomplete, or Inaccurate
Information displayed on UnifiedEM is provided on an "as available" basis. Specifically:
- Third-Party Feeds may be delayed, incomplete, malformed, or unavailable due to issues outside Momentum CE's control. UnifiedEM may display cached or stale data, or may display no data at all, when an upstream feed fails.
- Locally-published notices appear on the Public Dashboard only after an Authorized Publisher composes and publishes them. Notices may be delayed, may contain errors, or may not be published at all during an incident.
- Network conditions — including cellular congestion during an event — may prevent Public Users from loading the dashboard or seeing the most recent content.
Public Users should use multiple, independent information sources during any emergency.
4. Public Dashboard — Terms for Public Users
4.1 Permitted Use
The Public Dashboard is provided free of charge to the public. You may view, share, bookmark, and reference the Public Dashboard for personal, non-commercial purposes related to public safety and situational awareness.
4.2 Prohibited Conduct
You may not:
- Attempt to gain unauthorized access to the Publishing Tool, administrative interfaces, or any non-public portion of UnifiedEM;
- Scrape, harvest, or systematically extract data from the Public Dashboard in a manner that imposes an unreasonable load on the service or interferes with its availability to others;
- Interfere with, disrupt, or attempt to disable UnifiedEM through denial-of-service attacks, malware, or similar means;
- Reverse-engineer, decompile, or attempt to derive the source code of UnifiedEM;
- Impersonate the Jurisdiction, Momentum CE, or any Authorized Publisher; or
- Use UnifiedEM for any unlawful purpose.
4.3 No Account Required for Public Access
Public Users do not create accounts. The Public Dashboard does not require authentication. Information about data collected from Public Users is described in our Privacy Policy.
4.4 Third-Party Content and Links
The Public Dashboard displays content from Third-Party Feeds and may embed social media plugins (for example, Facebook page embeds) or link to external resources (FEMA, the National Weather Service, tribal or local government pages). Momentum CE does not control, endorse, or assume responsibility for third-party content. Use of those third-party services is governed by their own terms and privacy practices.
5. Publishing Tool — Terms for Authorized Publishers
5.1 Authorization and Credentials
Access to the Publishing Tool is limited to individuals designated by the Jurisdiction and provisioned with credentials by Momentum CE or by an administrator at the Jurisdiction. Authorized Publishers must:
- Keep credentials confidential and not share them with any other person;
- Use credentials only on devices reasonably secured against unauthorized access;
- Notify Momentum CE promptly upon learning of any actual or suspected compromise of credentials;
- Not attempt to access portions of UnifiedEM beyond the scope of their authorization.
5.2 Authority to Publish
By publishing Content through the Publishing Tool, the Authorized Publisher represents and warrants that:
- They have authority from the Jurisdiction to publish on its behalf;
- The Content is, to their knowledge, accurate at the time of publication;
- The Content does not knowingly infringe any third party's intellectual property, privacy, or other rights;
- The Content does not include personally identifiable information about private individuals except as necessary and lawful for public safety purposes; and
- The Content complies with applicable law and the Jurisdiction's own internal communications policies.
5.3 Content Is the Jurisdiction's Communication
Notices, alerts, polygons, images, and other Content published through the Publishing Tool are communications of the Jurisdiction, not of Momentum CE. Momentum CE provides the platform but does not author, review, approve, or endorse published Content.
5.4 Prohibited Content
Authorized Publishers may not use the Publishing Tool to publish Content that:
- Is knowingly false or misleading in a manner that could endanger public safety;
- Constitutes harassment, defamation, or unlawful discrimination;
- Discloses confidential law enforcement information that has not been cleared for public release;
- Promotes commercial products or services unrelated to the Jurisdiction's public-safety mission;
- Violates applicable federal, state, or tribal law.
5.5 Logging and Auditability
The Publishing Tool maintains records of publishing actions, including the identity of the Authorized Publisher, timestamps, and the Content published. These records are maintained for operational, security, and accountability purposes and are made available to the Jurisdiction on reasonable request.
5.6 Suspension of Access
Momentum CE may suspend or revoke an Authorized Publisher's access to the Publishing Tool if Momentum CE reasonably believes the account has been compromised, is being used in violation of these Terms, or poses a risk to the integrity of UnifiedEM. Where practical, Momentum CE will notify the Jurisdiction before or promptly after such suspension.
6. Intellectual Property
6.1 Momentum CE's Platform
UnifiedEM — including its software, design, infrastructure, and underlying technology — is owned by Momentum CE LLC and is protected by U.S. and international intellectual property laws. Nothing in these Terms grants any user a license to the platform itself beyond the limited right to use it as intended.
6.2 Jurisdiction Branding
Logos, seals, names, colors, and other brand assets provided by the Jurisdiction remain the property of the Jurisdiction. Momentum CE uses these assets solely to deliver the contracted UnifiedEM service.
6.3 Third-Party Feeds
Content drawn from Third-Party Feeds remains the property of, and is subject to the terms of, the respective third party. Momentum CE makes no claim of ownership over NWS alerts, AirNow data, state forestry data, or similar materials.
6.4 Published Notices
Content published by Authorized Publishers through the Publishing Tool is owned by the Jurisdiction (or by the third party who originally produced it, where applicable). The Jurisdiction grants Momentum CE a non-exclusive, royalty-free license to host, display, cache, and distribute that Content as necessary to operate UnifiedEM.
7. Privacy
Use of UnifiedEM is also governed by the UnifiedEM Privacy Policy, which describes what information is collected from Public Users and Authorized Publishers and how it is used.
8. Disclaimers
8.1 "As Available" Service
UNIFIEDEM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MOMENTUM CE MAKES REASONABLE COMMERCIAL EFFORTS TO KEEP THE SERVICE OPERATIONAL BUT DOES NOT WARRANT THAT IT WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. SERVICE LEVEL COMMITMENTS, IF ANY, ARE SET FORTH IN THE WRITTEN AGREEMENT BETWEEN MOMENTUM CE AND THE JURISDICTION AND ARE NOT EXTENDED TO PUBLIC USERS.
8.2 No Warranty of Accuracy
MOMENTUM CE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT DISPLAYED ON UNIFIEDEM, INCLUDING CONTENT FROM THIRD-PARTY FEEDS AND CONTENT PUBLISHED BY AUTHORIZED PUBLISHERS.
8.3 No Reliance for Life-Safety Decisions
UNIFIEDEM IS A SUPPLEMENTAL PUBLIC INFORMATION TOOL. PUBLIC USERS SHOULD NOT RELY SOLELY ON UNIFIEDEM TO MAKE LIFE-SAFETY DECISIONS. IN AN EMERGENCY, CALL 911 AND FOLLOW INSTRUCTIONS FROM OFFICIAL EMERGENCY RESPONDERS.
8.4 Third-Party Feeds
MOMENTUM CE IS NOT RESPONSIBLE FOR THE ACCURACY, AVAILABILITY, OR CONDUCT OF THIRD-PARTY FEEDS OR THIRD-PARTY SERVICES LINKED FROM OR EMBEDDED WITHIN UNIFIEDEM.
The disclaimers in this Section 8 apply to the maximum extent permitted by applicable law.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
9.1 Excluded Damages
MOMENTUM CE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO USE OF UNIFIEDEM — EVEN IF MOMENTUM CE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 Cap on Direct Damages
MOMENTUM CE'S TOTAL CUMULATIVE LIABILITY TO ANY PUBLIC USER ARISING OUT OF OR RELATED TO USE OF THE PUBLIC DASHBOARD IS LIMITED TO ONE HUNDRED U.S. DOLLARS (USD $100). MOMENTUM CE'S LIABILITY TO THE JURISDICTION AND ITS AUTHORIZED PUBLISHERS IS GOVERNED BY THE WRITTEN AGREEMENT BETWEEN MOMENTUM CE AND THE JURISDICTION AND IS NOT MODIFIED BY THESE TERMS.
9.3 Essential Basis
THE LIMITATIONS IN THIS SECTION 9 ARE AN ESSENTIAL BASIS OF THE BARGAIN AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the foregoing exclusions and limitations apply only to the extent permitted by law.
10. Indemnification
10.1 By Public Users
You agree to indemnify and hold harmless Momentum CE LLC, its officers, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of UnifiedEM. This Section 10.1 does not apply to ordinary, lawful viewing of the Public Dashboard.
10.2 By Authorized Publishers and the Jurisdiction
Indemnification obligations as between Momentum CE and the Jurisdiction (including for Content published by Authorized Publishers) are governed by the written agreement between Momentum CE and the Jurisdiction.
11. Termination
11.1 Public Users
Momentum CE may restrict, suspend, or terminate any Public User's access to the Public Dashboard for violations of these Terms or for activity that threatens the security, availability, or integrity of UnifiedEM.
11.2 Authorized Publishers
Authorized Publisher access may be terminated by the Jurisdiction at any time, by Momentum CE in accordance with Section 5.6, or upon termination of the Jurisdiction's agreement with Momentum CE.
11.3 Survival
Sections 3 (Nature of the Service), 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law and Dispute Resolution), and 13 (General) survive termination.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws principles.
12.2 Tribal Sovereignty
Nothing in these Terms is intended to, nor shall it be construed to, waive the sovereign immunity of any federally recognized tribe, including any Jurisdiction operating UnifiedEM under contract with Momentum CE. The contractual relationship between Momentum CE and any tribal Jurisdiction — including any choice of law, forum, and limited waiver of sovereign immunity — is governed exclusively by the written agreement between those parties and is not modified by these Terms.
12.3 Forum
Subject to Section 12.2, any dispute arising out of or related to these Terms or use of UnifiedEM that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Larimer County, Colorado, and the parties consent to the personal jurisdiction of those courts.
13. General
13.1 Entire Agreement
These Terms, together with the Privacy Policy and (for the Jurisdiction) the written services agreement between Momentum CE and the Jurisdiction, constitute the entire agreement regarding use of UnifiedEM and supersede any prior understandings on the same subject.
13.2 Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
13.3 No Waiver
Momentum CE's failure to enforce any provision is not a waiver of its right to do so later.
13.4 Assignment
You may not assign your rights or obligations under these Terms. Momentum CE may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
13.5 No Third-Party Beneficiaries
Except as expressly stated, these Terms do not create any third-party beneficiary rights.
